These Terms of Use ("Terms") govern your access to and use of the Tootaminuga platform (the "Service") operated by Tootaminuga ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

1. Acceptance of Terms
By creating an account, accessing, or using the Tootaminuga platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.
2. Description of Service
Tootaminuga is a platform that connects service providers (cleaners) with clients who need cleaning services. The platform facilitates matching, booking, payment processing, and communication between service providers and clients.
3. Account Registration and Eligibility
To use our Service, you must:
- Be at least 18 years of age or have parental consent
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information to keep it accurate
- Maintain the security of your account credentials and notify us immediately of any unauthorized access
- Accept responsibility for all activities that occur under your account
- Have the legal capacity and authority to enter into these Terms
4. Service Provider Obligations
If you register as a service provider, you agree to:
- Provide accurate and complete profile information, including your expertise, availability, and service rates
- Complete your profile with all required information (rate, address, availability) before receiving job offers
- Respond to job offers in a timely manner and honor accepted bookings
- Arrive on time and provide services in a professional, competent, and safe manner
- Comply with all applicable laws, regulations, and professional standards
- Maintain appropriate insurance and licenses as required by law
- Handle your own tax obligations based on your account type (LHV entrepreneur account or Company OU)
- Not engage in any fraudulent, deceptive, or illegal activities
- Respect client privacy and maintain confidentiality of client information
5. Client Obligations
If you use the platform as a client, you agree to:
- Provide accurate information about the cleaning job requirements
- Provide a safe working environment for service providers
- Pay for completed services in accordance with the agreed terms
- Cancel bookings in a timely manner if necessary and in accordance with cancellation policies
- Treat service providers with respect and professionalism
6. Account Types and Tax Responsibilities
Service providers can choose between two account types:
- LHV Entrepreneur Account: Taxes are automatically deducted from payments. You receive net payments (after tax deduction). No additional tax filing is required through the platform.
- Company OU: Payments are made gross (before taxes). You are solely responsible for all tax filings, payments, and compliance with Estonian tax regulations.
Important: We strongly recommend consulting with a qualified tax advisor or accountant to understand your specific tax obligations based on your business structure and account type. Tootaminuga does not provide tax advice and is not responsible for your tax obligations.
7. Payment Terms
Payment processing is handled securely through our payment system:
- Payments are typically processed within 3-5 business days after service completion
- Payment amounts depend on your account type (net for LHV accounts, gross for Company OU accounts)
- Service providers are responsible for any fees, commissions, or charges as outlined in their service agreement
- We reserve the right to hold or delay payments in cases of disputes, fraud, or violation of these Terms
8. Cancellation and Refund Policy
Cancellation policies vary based on the specific booking terms:
- Service providers may decline offers before acceptance without penalty
- Cancelling a confirmed booking should only occur in exceptional circumstances
- Repeated cancellations by service providers may result in account restrictions
- Clients should cancel bookings as early as possible to allow for rebooking
- Refund policies are determined on a case-by-case basis and may depend on the cancellation timing and circumstances
9. Prohibited Activities
You agree not to:
- Use the Service for any illegal or unauthorized purpose
- Violate any laws, regulations, or third-party rights
- Transmit any malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to the Service or other users' accounts
- Impersonate any person or entity or falsely state your affiliation with any entity
- Interfere with or disrupt the Service or servers connected to the Service
- Collect or store personal data about other users without their consent
- Use the Service to compete with Tootaminuga or solicit clients or service providers away from the platform
- Post false, misleading, or fraudulent information
10. Intellectual Property
The Service and its original content, features, and functionality are owned by Tootaminuga and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our written permission.
11. Privacy and Data Protection
Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy to understand how we collect, use, and protect your personal information in compliance with GDPR and other applicable data protection laws.
12. Limitation of Liability
Tootaminuga acts as a platform connecting service providers and clients. We are not responsible for:
- The quality, safety, or legality of services provided by service providers
- The accuracy of information provided by users
- Disputes between service providers and clients
- Any damages, losses, or injuries resulting from services provided or received through the platform
- Tax obligations or compliance issues of service providers
To the maximum extent permitted by law, Tootaminuga's liability is limited to the amount you paid us in the 12 months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless Tootaminuga, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of the Service, violation of these Terms, or violation of any rights of another party.
14. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including:
- Breach of these Terms
- Fraudulent, illegal, or harmful activity
- Repeated cancellations or poor service quality
- Request by law enforcement or regulatory authorities
You may terminate your account at any time by contacting us or using account deletion features, subject to completion of any pending transactions.
15. Dispute Resolution
If you have a dispute with another user or with Tootaminuga, you agree to first contact us at info@tootaminuga.com to attempt to resolve the dispute. If the dispute cannot be resolved through direct communication, disputes will be resolved in accordance with Estonian law in the courts of Estonia.
16. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If we make material changes, we will notify you by email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Estonia, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Estonia.
18. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable to the fullest extent permitted by law.
